“However, the question arises – why do the owners of Mladina JSC have such a complex ownership structure? What are they hiding? How do they even dare to accuse others of anything before taking care of their own messes first?” tax expert Ivan Simič wondered in response to Mladina magazine.
On the 15th page of the Friday (the 28th of May 2021) issue of the Mladina magazine, the company Mladina JSC wrote the following in the section called Rolling around the stage: “Ivan Simič will greatly increase the efficiency of the Financial Administration of the Republic of Slovenia (for starters, he will move the headquarters to Cyprus press).” In response, the tax expert Ivan Simič, MSc, published an analysis of the ownership structure of the company Mladina JSC, which publishes the magazine with the same name, on his blog. We are publishing the analysis in its entirety below.
“I would like to let the leadership of the Mladina JSC company and the Mladina magazine know that I will not relocate the headquarters of the Financial Administration to Cyprus because I have practically nothing left in Cyprus. A company that I do not own directly is in the process of being deleted and will shortly be deleted from the business register. However, the practically final and unfortunately still hidden majority owner of the company Mladina JSC, i. r. the Italian company KB1909, has already been deleted.
Nevertheless, the “Cyprus press” exclusively shared with me the ownership structure of the Mladina JSC company, which is, after all, still shrouded in secrecy. We could also use the term non-transparent here. Especially because Denis Tavčar, who has been the President of the Management Board since the 22nd of October 2013, has been registered as the actual owner of the company Mladina JSC (according to the management), as of the 4th of December 2019. Before her, Boris Peric was registered as the actual owner from the 10th of December 2018 to the 11th of January 2019 (only for 31 days), who owns merely 0.42% of a share in the Italian company Transmedia S.R.L., in which the 97.79% owner of the share is the Slovenian company Distriest Ltd, in which the majority and actual owners are known. When you see the chain of ownership in Mladina JSC shown below, you will not be able to do anything besides wonder why Mladina JSC is playing this game of hide and seek.
So, the “Cyprus press” would like to announce that in the company Mladina, JSC, which has 3000 shares and 75,120.00 euros of share capital, the shareholders are:

The following three things in this ownership structure are unusual:
– that the majority, i. e. 70.3668% owner of shares (2,111) is Transmedia Ltd,
– that the 2.0000% owner of shares (60) is the state-owned Capital Association (Kapitalska družba) JSC, and
– that the 2.0576% owner of shares (62) is the state-owned Bank Assets Management Company, which is also a 45.3886% shareholder in Salomon, with the contribution in the amount of 4,690,620.16 euros.
To simplify the data obtained from “Cyprus press,” the state is a 4.0576% owner of the company Mladina JSC.
I will now turn my attention to the majority shareholder, so the company Transmedia JSC, the headquarters of which are located at Dunajska Street 51 in Ljubljana, and which has the share capital of 7,500.00 euros. It is apparent from the court register that the sole shareholder of that company is the Italian company Transmedia S.R.L., Piazza Vittoria 41, Gorizia.
We are now moving to the Italian business register, which shows that the Italian company Transmedia S.R.L., with a share capital of 2,120,000.00 euros (my calculation amounts to 2,119.997.00 euros), has a large number of shareholders, which are listed below:

As we can see, the owner of the largest share (97,79%) with the investment of 2,073,244.00 euros in the Italian company Transmedia S.R.L., is the Slovenian company Distriest Ltd.
Therefore, I am now once again moving to the Slovenian business register, which shows that the largest shareholder of the Distriest Ltd company, Partizanska Street 75a, Sežana, with a share capital of 940,540.05 euros, is the Italian company KB 1909, Malta Street 2, Gorizia.
If you wanted to check who are the shareholders in the Italian company KB 1909, you would soon find that you are unable to find this information because that company has already been deleted from the Italian business register. This means that the final and largest owner of Mladina JSC is Distriest Ltd, which has no clear ownership and therefore, it would be much more appropriate for the director of Distriest, not the President of the Management Board of the company Mladina JSC, to be entered in the register of the beneficial owners as the beneficial owner of the company.

Simič will take over the management of the Financial Administration in June, and it is becoming increasingly clear why Štrukelj, who is using his media outlet for political agitation, is doing everything he can to bring down the government. The fact that Branimir Štrukelj is a politician is clear from the records of the National Electoral Commission, where we can see that he won 584 votes in the 2014 elections to the European Parliament.
